1. Acceptance of Terms

By accessing or using the website located at https://omnexis-ai.com and any related services, products, or platforms provided by Omnexis AI("Omnexis," "we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our Services.

2. Description of Services

Omnexis AIprovides AI-powered automation products and integration services, including but not limited to conversational commerce platforms, WhatsApp-based ordering systems, agentic AI assistants, and enterprise automation tooling (collectively, the "Services"). Some Services may be offered in early access, pilot, or beta form and are subject to additional terms communicated at the time of enrollment.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract under applicable law to use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

4. Accounts and Access

Certain Services may require registration or credentialed access. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@omnexis-ai.com if you suspect unauthorized use.

5. Acceptable Use

You agree not to:

  • use the Services for any unlawful purpose or in violation of applicable regulations;
  • reverse-engineer, disassemble, or attempt to extract the source code of any proprietary component of the Services;
  • interfere with or disrupt the integrity or performance of the Services or related infrastructure;
  • transmit viruses, malware, or any code designed to interrupt, destroy, or limit the functionality of the Services;
  • use automated means (bots, scrapers, crawlers) to access the Services beyond what we expressly permit in published APIs.

6. Intellectual Property

All content, software, designs, logos, and other materials comprising the Services are owned by or licensed to Omnexis AI and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent, except as expressly permitted under these Terms or separate agreements.

Content you submit through the Services remains yours. By submitting content, you grant us a non-exclusive, royalty-free, worldwide license to use it solely for the purpose of operating and improving the Services.

7. Fees and Payment

If you subscribe to paid Services, fees and billing terms will be specified in the applicable order form, pilot agreement, or product interface. All fees are stated in the currency indicated and are non-refundable except as expressly provided. We reserve the right to change pricing upon reasonable notice.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AI-generated outputs may be inaccurate or incomplete. You are responsible for reviewing and validating any output before relying on it in production, business, or regulatory contexts.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNEXIS AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

10. Indemnification

You agree to indemnify and hold harmless Omnexis AI, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your use of the Services or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will remain in effect.

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Kenya without regard to conflict of law principles. Any dispute arising under or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, either party may submit the dispute to binding arbitration administered under the rules of the Nairobi Centre for International Arbitration, or to the courts of competent jurisdiction in Nairobi, Kenya.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date at the top. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
